Bauer doesn't lose. Period. The guy is basically the Punisher only smarter, more skilled, and more focused. He and Batman are pretty much on even ground skills-wise, because Batman's better at martial arts, but Bauer's better at gunplay. It would be a great fight, but Bauer's willingness to cross the line into killing and torture gives him the edge.
